Module License (EULA)

This End User License Agreement ("License") applies universally to every module distributed by Azly Software ("Azly") on any marketplace or platform, including all modules listed in the Product Schedule of our Master Terms of Service. It forms part of those Terms.

1. License grant

Subject to your subscription being active and paid, Azly grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the module, through the platform's marketplace mechanisms, for your internal business purposes during the subscription term.

2. Scope

  • The license covers the subscribing account (or sub-account, where a platform's reseller mechanism applies).
  • Use of the module is also subject to the platform's own terms, including its developer policies and acceptable use rules.
  • If your subscription lapses or is cancelled, the license ends and you must stop using the module and uninstall it.

3. Restrictions

You may not:

  • copy the module except as incidental to normal platform use;
  • modify, adapt, or create derivative works of the module;
  • rent, lease, lend, sell, sublicense, or distribute the module;
  • remove or obscure any proprietary notices;
  • use the module to build a competing product or to scrape platform data at scale.

4. Ownership

The module, including its code, interfaces, and documentation, is and remains the intellectual property of Azly. This License is a license, not a sale; you acquire no ownership rights. Platform names and marks are the property of their respective owners.

5. Third-party components

Modules operate on platform APIs (GoHighLevel, HubSpot, monday.com, Pipedrive, Shopify), messaging APIs (including the WhatsApp Business API), and payment gateway APIs (Paystack, Flutterwave, M-Pesa providers). Those services are governed by their own terms with you; this License does not modify them. Changes to a third-party service may affect module functionality.

6. Updates

Modules may download and install updates automatically through the platform. Updates are part of the module and governed by this License. We may cease supporting a module version that a platform no longer supports.

7. Support

Support channels and response expectations are stated on each marketplace listing. Critical defects are prioritized. Support does not cover issues caused by platform misconfiguration outside the module, or by third-party services.

8. Term and termination

This License runs with your subscription. It ends automatically on cancellation or uninstall. Clauses 4, 9, and 10 survive termination. Azly may suspend a module where a platform requires it, where fees are unpaid, or where the module is being used unlawfully.

9. Disclaimers

Except as stated in the Terms of Service, the module is provided "as is" without warranties of any kind. We do not warrant that module operation will be uninterrupted or error-free, particularly where it depends on third-party APIs and network services. Tax-invoicing modules assist compliance but do not transfer the merchant's legal obligations; see our Compliance page.

10. Liability

Liability is limited as set out in Section 10 of the Master Terms of Service, which applies to this License.
